techTeamInABox provides software development, technical consulting, and related services to clients. The specific services to be provided will be detailed in a separate Statement of Work or Service Agreement between techTeamInABox and the client.

We reserve the right to refuse service to anyone for any reason at any time, and to modify or terminate our services (or any part or content thereof) without notice at any time.

3. Website Use

3.1 Content

All content on this website, including text, graphics, logos, images, and software, is the property of techTeamInABox or its content suppliers and is protected by UK and international copyright laws.

3.2 Acceptable Use

You agree not to use our website:

• In any way that violates any applicable local, national, or international law or regulation
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter", "spam", or any other similar solicitation

4. Intellectual Property

4.1 Our Intellectual Property

The techTeamInABox name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of techTeamInABox or its affiliates. You must not use such marks without the prior written permission of techTeamInABox.

4.2 Client Projects

The intellectual property rights for client projects are detailed in the specific Service Agreement or Statement of Work. Unless otherwise agreed in writing:

• Upon full payment, clients will own the intellectual property rights to the custom code and deliverables specifically created for their project
• techTeamInABox retains the rights to any pre-existing code, tools, libraries, or methodologies used in the development process
• techTeamInABox may use general knowledge, skills, and experience acquired during client projects for future work

5. Payment Terms

Payment terms for our services are detailed in the Service Agreement or Statement of Work for each project. Unless otherwise agreed:

• Invoices are due within 30 days of issuance
• Late payments may incur interest charges in accordance with the Late Payment of Commercial Debts (Interest) Act 1998
• For ongoing projects, we may require an initial deposit before commencing work
• All fees are exclusive of VAT, which will be added where applicable

6. Confidentiality

We respect the confidentiality of our clients' information. We will not disclose confidential information shared with us during the course of our business relationship except as required by law or as necessary to provide our services. Specific confidentiality terms may be detailed in the Service Agreement or Statement of Work.

7. Limitation of Liability

To the fullest extent permitted by law, techTeamInABox shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use of or inability to use our website or services
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from our website
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our website by any third party

Our total liability for all claims related to our services shall not exceed the amount paid by you for the services in question, or £5,000, whichever is greater.

Nothing in these Terms shall limit or exclude our liability for death or personal injury resulting from our negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

8. Indemnification

You agree to indemnify, defend, and hold harmless techTeamInABox, its directors, officers, employees, and agents from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these Terms or any activity related to your account (including negligent or wrongful conduct).

9. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use our services will immediately cease.

Termination of specific client projects will be governed by the terms set out in the Service Agreement or Statement of Work.

10. Changes to Terms

We reserve the right to modify these Terms at any time. When we do, we will revise the updated date at the top of this page. We encourage you to frequently check this page for any changes.

Your continued use of our website or services after any changes to these Terms will constitute your acknowledgment of the modifications and your consent to abide and be bound by the modified Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of England and Wales.
